1. Parties

This Newcomer Debut Membership and Engagement Agreement ("Agreement") is entered into on [Date] between Gateway to Bollywood Media Group Pvt. Ltd, a sole proprietorship having its principal place of business at [Address] (hereinafter "GTB"), and [Applicant Name], an individual residing at [Address], holding [ID Type] [ID Last 4 Digits] (hereinafter "Newcomer Debut Member" or "Member").

2. Recitals

WHEREAS GTB operates Verrsa Vibe, an independent music label producing music videos; WHEREAS GTB operates the Newcomer Debut Programme, a merit-based launch programme for newcomers and freshers seeking their first lead role; WHEREAS the Member has applied for the Newcomer Debut Programme and has been selected on the basis of merit; WHEREAS the parties wish to enter into a 2-year membership and engagement arrangement; NOW THEREFORE the parties agree as follows.

3. Eligibility Confirmation

The Member confirms and warrants that they are a newcomer or fresher seeking their first major lead role launch; that they do not hold prior lead credits in feature films, web series, or TV serials; and that all information submitted in the application is true and accurate. Misrepresentation of eligibility is grounds for immediate termination of this Agreement and forfeiture of any fees paid.

4. Membership Fee

The Member shall pay a membership fee of Rs. 2,10,000 (Rupees Two Lakh Ten Thousand only), inclusive of GST at 18%, to GTB within fourteen (14) days of receipt of the written offer letter. Base fee: Rs. 1,77,966. GST (18%): Rs. 32,034. Total: Rs. 2,10,000.

5. Membership Term

Two (2) years from the date of payment receipt.

6. Lead Role Launch Guarantee and Delivery Window

GTB undertakes to cast the Member in a lead role in a Verrsa Vibe music video and release the video within twenty-four (24) months from the date of contract execution, with a target delivery of six (6) months. Releases occurring within the 24-month window fulfil this Agreement.

7. Refund Waterfall

In the event GTB fails to release a music video featuring the Member within 24 months of contract signing, the following refund structure applies, payable within thirty (30) days of the trigger event:

7.1 If GTB cancels production before any pre-production work begins: 100% refund of Rs. 2,10,000.

7.2 If GTB cancels after shoot has begun but before release: 80% refund (Rs. 1,68,000).

7.3 If video is edited but unreleased by month 12: Member may elect either (a) 50% refund (Rs. 1,05,000), or (b) complimentary 12-month extension of release window.

7.4 If video remains unreleased at end of month 24: 100% refund.

Membership fees are held in a separate nominee account for the duration of the contract.

8. Voluntary Withdrawal by Member

8.1 Withdrawal before any pre-production work begins: 90% refund.

8.2 Withdrawal after pre-production has begun but before shoot: 50% refund.

8.3 Withdrawal after shoot has wrapped: no refund.

Force majeure events (medical emergency, family bereavement, natural disaster) shall be assessed case-by-case at the sole discretion of GTB's Director, with documented evidence required.

9. Performance Obligations

Member shall: attend all scheduled production meetings, rehearsals, and shoot dates; maintain professional conduct on and off set; not engage in any activity that could reasonably bring disrepute to the production or GTB; provide a sworn affidavit attesting to the truth of all submitted information.

10. Intellectual Property

10.1 The composition of the music video (lyrics, melody, arrangement) is owned by GTB and the contributing composers/lyricists, who retain their respective royalty rights as per applicable law and the agreements with the Indian Performing Right Society (IPRS) and Phonographic Performance Limited (PPL).

10.2 The Member retains performance copyright in their on-screen contribution per Section 38A of the Copyright Act, 1957.

10.3 The Member grants GTB a perpetual, worldwide, royalty-free licence to use, distribute, exhibit, and exploit their performance in the music video and related promotional materials across all media now known or hereafter invented.

10.4 The Member may use the music video and stills in their personal portfolio, showreel, social media, and self-promotional materials, with attribution to GTB and Verrsa Vibe.

11. Morality Clause

Member warrants that during the term they will not engage in any conduct (including criminal activity, public scandal, or behaviour widely regarded as offensive) that could reasonably damage GTB's reputation. Material breach permits GTB to terminate this Agreement and recover prorated damages.

12. Confidentiality

Member shall not disclose production details, behind-the-scenes content, unreleased footage, or commercial arrangements without GTB's prior written consent until thirty (30) days post-release.

13. Anti-Sexual Harassment

All productions adhere to the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013 (POSH Act). GTB maintains an Internal Complaints Committee (ICC). Reports may be made directly to the Director or via /grievance. Investigation within seven (7) days; consequences up to and including immediate termination of any party found in violation.

14. Tax

Member is responsible for declaring fees received as income and complying with personal tax obligations under the Income Tax Act, 1961. TDS shall be deducted and deposited by GTB where applicable under Section 194-J or Section 194-O as relevant. GST is collected and deposited by GTB.

15. Force Majeure

Neither party liable for delay or failure caused by events beyond reasonable control, including pandemics, natural disasters, war, civil unrest, government action, regulatory changes, or third-party service failures of more than thirty (30) days continuous duration.

16. Termination

This Agreement terminates upon: (a) successful release of the music video featuring the Member; (b) expiry of the 24-month window with refund processed per Section 7; (c) material breach by either party with thirty (30) days cure period; (d) misrepresentation of eligibility per Section 3; (e) mutual written agreement.

17. Governing Law and Dispute Resolution

Governed by the laws of India. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Mumbai. The language of arbitration shall be English. The award shall be final and binding. Courts in Mumbai have exclusive jurisdiction over any matter not arbitrable.

18. Notices

All notices in writing to: GTB at founders@gatewaytobollywood.com; Member at the email and address on record. Notices effective on receipt or 48 hours after dispatch by registered post.

19. Counterparts and E-Signature

This Agreement may be executed in counterparts and via electronic signature (Digio or equivalent service) per the Information Technology Act, 2000. Together with GTB's Terms, Privacy Policy, IP Rights, Casting Integrity Pledge, Zero Tolerance Policy, and Refund Policy, this Agreement constitutes the entire agreement between the parties.
